Timing: The Prize Draw begins at 00:00 Greenwich Mean Time (“GMT”), 16 November 2009, ends at 23:59 GMT, 8 February 2010 (the "Competition Period") and consists of twelve (12) separate drawings (each an " Entry Period" or “Drawing” respectively) with prizes, number of potential winners, and entry deadlines (“Entry Period”) as defined in the table set forth in Section 6, below. Non-winning entries will not carry over to subsequent Entry Periods. Administrator’s computer is the official time keeping device for the Prize Draw.

4. How to Enter: During each Entry Period, there are two (2) ways you can enter the Prize Draw.

(a) Entry Via SMS: During the Promotion Period and while under a PredictoMobile membership subscription plan, use a two-way text-messaging capable device to vote via SMS text-messaging on a PredictoMobile survey that is affiliated with a Drawing. You will receive one (1) entry into the Drawing for the prize featured in the applicable survey.

Entrants that enter a Drawing by text-messaging will be charged according to their carrier’s standard text-messaging rates and entrants should contact their carrier for pricing plans and details. Check your mobile handset owners’ manual for specific text-messaging instructions. Text-messaging may not be available through all wireless carries.

(b) Free/Alternate Method of Entry ("AMOE"): To enter for free and/or without receiving or sending a text-message, visit the applicable Predicto website and follow the links and instructions to become a Basic Member and create your Basic Member online account (the "Account"). Creating an Account is free. Once you create an Account, you will have online access to the surveys that are sent to the Premium Members via Section 4(a), above. Access your Account by signing in and complete an online survey. For each such survey you complete, you will receive one (1) entry into the Drawing for the prize featured in the applicable survey.

For All Surveys: Not all surveys are affiliated with a Drawing, but those that are will clearly state the prize for which members become eligible by voting on the survey. More than one (1) survey may be affiliated with a single Drawing; each vote on a survey affiliated with a specific Drawing gives the participant an entry into the Drawing.

For Both Methods of Entry: Limit: PredictoMobile Members may vote on particular survey only once per survey regardless of whether they vote on a survey via text messaging or online. As a consequence, the maximum number of entries to a Drawing is limited to the number of surveys associated with the Drawing. Use of any automated system to participate is prohibited and will result in disqualification. Promoter is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or play, the authorised account holder of the email address used to register will be deemed to be the registrant or player. The “authorised account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider or other organisation responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorised account holder.

5. Prize Draw and Verification of Potential Winners: Potential winners must continue to comply with all terms and conditions of these Official Rules; and winning is contingent upon fulfilling all requirements. Administrator, an independent judging organisation, whose decisions as to the administration and operation of the Prize Draw and the selection of the potential winners are final and binding in all matters related to the Prize Draw, will randomly select the potential Drawing winners, from all eligible entries received for each Drawing during each Entry Period, on or around the date specified in the table set forth in Section 6 below for each Drawing. The draw will take place at the Administrator’s offices at the address set forth above. Each potential Prize Draw winner will be notified by email, telephone, text-message or registered mail after the date of the random draw. Potential winners of any prize must reply to the win notification by completing an online form at http://uk.predicto.com/claims with all requested information within five (5) days of the time the win notification was sent. If a potential winner of any prize cannot be contacted, fails to respond to the notification within five (5) days of the time the win notification was sent, or provides incomplete or inaccurate information, he/she forfeits the applicable prize. In the event that a potential winner of any prize is disqualified for any reason, Promoter will award the applicable prize to an alternate winner in a random drawing from among all remaining eligible entries. There will be three (3) alternate drawings after which the applicable prize will remain unawarded. Prizes will be shipped two (2) to four (4) weeks after receipt of winner’s completed claim information.

6. Prizes: The prizes and number of potential winners for each Drawing are listed in the table below.

For Electronic Prizes: Sponsor will select make, model and features of each electronic prize, in its sole discretion.  The ARV of electronic prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed.

For Mobile Phone: Winner is responsible for all fees associated with cell phone activation and/or use.

For Gift Cards: Card issuer terms and conditions apply.

For All Prizes: Prizes may not be substituted, assigned or transferred, except with our permission; we reserve the right to substitute a prize with another prize of greater or equal value if the offered prize is unavailable.  Odds of winning a Prize depend on the number of eligible entries received during the corresponding Entry Period.  Limit: One (1) prize per person.

7. Release: By receipt of any prize, winner agrees to release and hold harmless Promoter, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, damage to or loss of property, arising out of participation in the Prize Draw or receipt or use or misuse of any prize.  This Release does not apply to claims for personal injury or death caused by the negligence of Promoter Administrator.

8. Publicity: Except where prohibited, participation in the Prize Draw constitutes winner’s consent to Promoter’s use of winner’s name, image, likeness, personal quotation and city and country of residence for promotional purposes in any media, worldwide, without further payment or consideration.

9. General Conditions: Promoter reserves the right to cancel, suspend and/or modify the Prize Draw, or any part of it, if any fraud, technical failures or any other factor beyond Promoter’s reasonable control impairs the integrity or proper functioning of the Prize Draw or, as determined by Promoter in its sole discretion. Promoter reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Prize Draw or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Prize Draw may be a violation of criminal and civil law, and, should such an attempt be made, Promoter reserves the right to seek damages from any such person to the fullest extent permitted by law.  Promoter’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Limitations of Liability: Released Parties are not responsible for:  (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilised in the Prize Draw; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorised human intervention in any part of the entry process or the Prize Draw; (4) technical or human error which may occur in the administration of the Prize Draw or the processing of entries; or (5) any injury or damage to property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Prize Draw or receipt or use or misuse of any prize (other than as a direct result of the Promoter's negligence).  If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Prize Draw provided that if it is not possible to award another entry due to discontinuance of the Prize Draw, or any part of it, for any reason, Promoter, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein.  No more than the stated number of prizes will be awarded. Prize Draw and Verification of Potential Winners: Potential winners must continue to comply with all terms and conditions of these Official Rules; and winning is contingent upon fulfilling all requirements. Administrator, an independent judging organization, whose decisions as to the administration and operation of the Prize Draw and the selection of the potential winners are final and binding in all matters related to the Prize Draw, will randomly select the potential Drawing winners, from all eligible entries received for each Drawing during each Entry Period, on or around the date specified in the table set forth in Section 6 below for each Drawing. In the event that the potential Grand Prize winner is disqualified for any reason, Administrator will award the applicable prize to an alternate potential winner in a random drawing from among all remaining eligible entries. There will be three (3) alternate drawings, after which the Grand Prize will remain un-awarded. The Grand Prize will be received eight (8) to ten (10) weeks after the conclusion of the Prize Draw.

6. Prize: ONE (1) GRAND PRIZE: £50,000. Odds of winning the Grand Prize depend in part on the number of eligible entries received during the Competition Period and in part on whether your phone number or the Grand Prize Key you select ends with the two (2) digits randomly selected by Administrator.

7. Release: By receipt of any prize, winner agrees to release and hold harmless Promoter, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, damage to or loss of property, arising out of participation in the Prize Draw or receipt or use or misuse of any prize. This Release does not apply to claims for personal injury or death caused by the negligence of Promoter Administrator.

8. Publicity: Except where prohibited, participation in the Prize Draw constitutes winner’s consent to Promoter’s use of winner’s name, image, likeness, personal quotation and country of residence for promotional purposes in any media, worldwide, without further payment or consideration.

9. General Condition: Promoter reserves the right to cancel, suspend and/or modify the Prize Draw, or any part of it, if any fraud, technical failures or any other factor beyond Promoter’s reasonable control impairs the integrity or proper functioning of the Prize Draw or, as determined by Promoter in its sole discretion. Promoter reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Prize Draw or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Prize Draw may be a violation of criminal and civil law, and, should such an attempt be made, Promoter reserves the right to seek damages from any such person to the fullest extent permitted by law. Promoter’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilised in the Prize Draw; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorised human intervention in any part of the entry process or the Prize Draw; (4) technical or human error which may occur in the administration of the Prize Draw or the processing of entries; or (5) any injury or damage to property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Prize Draw or receipt or use or misuse of any prize (other than as a direct result of the Promoter's negligence). If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Prize Draw provided that if it is not possible to award another entry due to discontinuance of the Prize Draw, or any part of it, for any reason, Promoter, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed Promoter reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Prize Draw or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Prize Draw, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Promoter in connection with the Prize Draw, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

12. Entrant's Personal Information: Participation in the Prize Draw implies authorisation to transfer personal data to the United States for purposes of administration of the Prize Draw. All information submitted to the Promoter as part of this Prize Draw will be treated in accordance with the Promoter’s privacy policy, available at http://uk.predicto.com/privacy and ePrize’s privacy policy at http://www.eprize.com/privacy/privacypolicy.html. Personal information will be used to: (a) contact the potential winner; and (b) if an entrant selects to receive additional information from the Promoter on the entry form, to send additional information to that entrant. Entrants have the right to access, withdraw, and correct their personal data. 13. Winner List: Winner List requests will only be accepted after the promotion end date (listed above) and no later than 11 May 2011. For the Winner List, send an email with subject line: "Predicto UK 2010 £50,000 Prize Draw, Winner List Request," to WinListRequests@eprizefulfillment.com.

14. General: Nothing in these terms and conditions shall be deemed to exclude or restrict any of the winner's or entrant's statutory rights as a consumer.
